Please read these terms and conditions carefully before using our services.
Rutakshi Technologies Private Limited | Effective Date: 21-09-2026
These Terms and Conditions ("Terms") govern access to and use of the RUNO platform, applications, software, APIs, browser extensions, telecommunications-enabled services and related products and services ("Services") provided by Rutakshi Technologies Private Limited, operating under the brand name RUNO ("RUNO", "Company", "we", "us" or "our").
The terms "Customer", "Buyer", "User", "you" and "your" mean the individual, company, organisation or other legal entity purchasing, subscribing to, accessing or using the Services and, where applicable, its authorised users, employees, agents and representatives.
By purchasing, accessing, installing, integrating with or using any RUNO Service, you acknowledge that you have read, understood and agreed to these Terms and our applicable Privacy Policy, Data Processing Agreement, order form, subscription agreement and product-specific terms, if any.
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation. If you do not agree to these Terms, you must not access or use the Services.
RUNO may provide one or more of the following Services:
1. Cloud Telephony services, including landline-series and cloud/mobile-number-enabled calling solutions;
2. SIM-Based Call Management CRM;
3. AI Call Analytics and related artificial intelligence-enabled features;
4. WhatsApp Business messaging functionality using Meta/WhatsApp Business Platform APIs (WABA);
5. WhatsApp message tracking and CRM functionality through authorised Google Chrome extensions;
6. Gmail integration using Google OAuth and embedded sign-in functionality;
7. CRM, reporting, analytics, integrations, APIs and other ancillary functionality made available by RUNO from time to time.
Certain Services depend on telecommunications operators, cloud service providers, Google, Meta, WhatsApp, internet service providers, telecom service providers, number providers, device manufacturers and other independent third parties ("Third-Party Providers"). RUNO does not own, operate or control such third-party networks or platforms unless expressly stated otherwise.
The Customer is solely responsible for determining whether and how the Services may lawfully be used for the Customer's business and intended use case.
The Customer shall use the Services only in accordance with all applicable laws, rules, regulations, licences, directions, codes and governmental or regulatory requirements, including, where applicable: TRAI regulations, directions and guidelines; Department of Telecommunications (DoT) requirements; Telecom Commercial Communications Customer Preference Regulations, 2018 (TCCCPR) and amendments, directions and codes issued thereunder; applicable Distributed Ledger Technology (DLT) requirements; applicable Know Your Customer (KYC) and subscriber-verification requirements; the Information Technology Act, 2000 and applicable rules; the Digital Personal Data Protection Act, 2023 (DPDP Act) and rules notified thereunder; applicable consumer-protection, privacy, cybersecurity, intellectual-property and electronic-communications laws; rules concerning telemarketing, unsolicited commercial communications, calling, messaging and electronic marketing; and any other applicable Indian or foreign law.
RUNO provides technology and related enablement and does not provide legal, regulatory or compliance advice. Availability of a technical feature does not constitute a representation by RUNO that use of that feature in any particular manner is lawful. The Customer shall obtain its own professional advice where required.
The Customer shall not use RUNO to make calls, send messages or conduct communications that are unlawful, fraudulent, misleading, harassing, abusive or prohibited by TRAI, DoT, a telecom operator or applicable law.
Where applicable, the Customer is solely responsible for registering itself in the appropriate regulatory category; obtaining and maintaining required DLT registrations; registering headers, sender identities, consent templates and content templates; obtaining and maintaining valid customer consents and preferences; honouring opt-outs, revocations and Do-Not-Disturb preferences; maintaining evidence of lawful communications; complying with permitted calling hours and communication restrictions; ensuring promotional communications are sent only where legally permitted; complying with telecom-resource and number-use restrictions; and ensuring all transmitted content complies with applicable law.
RUNO may suspend, restrict or terminate any account or telecom resource where RUNO reasonably believes the Customer's use violates applicable law, regulatory directions, these Terms, a Third-Party Provider's requirements, or creates a material security, fraud, spam or regulatory risk.
Certain RUNO Services require completion of KYC before activation. Depending upon the Service and telecom resource involved, RUNO or its authorised Third-Party Provider may require company/entity KYC, authorised-signatory KYC, individual subscriber/user KYC, proof of address, proof of identity, corporate registration documents, authorisation letters or other documents required under applicable telecom or governmental requirements.
Cloud Telephony - Landline Series: Company/entity KYC and such additional documentation as may be prescribed by the relevant telecom provider, DoT, TRAI or applicable law may be required.
Cloud/Mobile Numbers: Company/entity KYC together with individual KYC and/or other subscriber verification may be required depending upon the telecom resource and applicable regulatory requirements.
SIM-Based Call Management: The Customer and/or individual SIM subscriber shall complete all legally required individual KYC and subscriber verification.
The Customer represents that every KYC document and piece of information submitted is true, accurate, complete, current and lawfully provided. The Customer shall not procure, assign, transfer, lend, resell or permit use of telecom resources contrary to applicable law or provider requirements. RUNO may refuse activation or suspend Services where KYC is incomplete, inaccurate, expired, unverifiable or non-compliant.
Telecom numbers and other telecom resources are subject to allocation, availability and continued authorisation by the relevant provider and regulator. Unless expressly required by applicable law, the Customer acquires no ownership right in any telephone number or telecom resource allocated through the Services.
The Customer acknowledges that SIM-Based Call Management operates using SIM cards, mobile devices, operating systems, telecom networks and permissions that may be outside RUNO's control.
The Customer shall ensure that every SIM is lawfully obtained and registered to the appropriate subscriber; all required KYC is completed; SIMs and mobile numbers are used only for permitted purposes; employees and authorised users are informed of applicable monitoring and data-processing activities; all required permissions and consents have been obtained; and use complies with telecom-operator policies and applicable TRAI/DoT requirements.
RUNO is not responsible for network coverage, call quality, SIM blocking, number suspension, operator restrictions, device incompatibility, mobile operating-system restrictions or changes imposed by a telecom operator or device/platform provider.
Where the Services enable call recording, monitoring, transcription, storage or analysis, the Customer is solely responsible for determining whether recording or monitoring is lawful. The Customer shall provide all notices and obtain all permissions, consents or authorisations required from employees, agents, customers, prospects, callers, recipients and other individuals before recording, monitoring, storing, transcribing or analysing communications.
RUNO does not determine whether consent is legally required for any particular call, jurisdiction, recipient or use case. The Customer shall not use recording or monitoring functionality where prohibited by law.
RUNO may provide artificial intelligence, machine learning, transcription, summarisation, sentiment analysis, classification, scoring, keyword detection, call-quality assessment and other automated analytics (AI Features). AI-generated outputs are probabilistic and may be incomplete, inaccurate, misleading or inappropriate for a particular purpose.
The Customer acknowledges that AI outputs must not be treated as guaranteed facts; appropriate human review must be applied before relying upon material AI outputs; RUNO does not warrant the accuracy, completeness or reliability of AI-generated results; the Customer is responsible for deciding whether AI Features are appropriate for its intended use; AI Features shall not be used for unlawful discrimination or prohibited automated decision-making; and the Customer is responsible for obtaining all permissions and lawful bases required to process call recordings, transcripts and other personal data using AI Features.
Unless expressly agreed otherwise in writing, RUNO shall not be responsible for business, employment, sales, financial, legal, compliance or other decisions made on the basis of AI-generated output.
Where RUNO enables WhatsApp messaging through Meta or WhatsApp APIs, the Customer acknowledges that WhatsApp and Meta are independent Third-Party Providers.
The Customer shall comply at all times with the then-current WhatsApp Business Terms, WhatsApp Business Messaging Policy, Meta Platform Terms and applicable developer policies, message-template requirements, consent and opt-in requirements, messaging limits and quality requirements, and applicable TRAI/TCCCPR and other legal requirements.
The Customer is solely responsible for the recipients, content, frequency, purpose and lawfulness of messages sent through its WhatsApp Business Account and shall obtain all required recipient opt-ins before initiating communications and promptly honour opt-outs.
RUNO does not guarantee approval of a WhatsApp Business Account, phone number, display name or message template and shall not be responsible for Meta or WhatsApp rejecting templates, reducing messaging limits, restricting functionality, changing APIs or policies, suspending or terminating accounts, changing pricing or discontinuing services.
RUNO may provide browser extensions that enable authorised users to capture, synchronise or associate WhatsApp-related communication information with the RUNO CRM.
The Customer shall install and use such extensions only on devices, browsers, accounts and communications that the Customer and its authorised users are legally entitled to access. The Customer shall obtain all legally required notices and consents; ensure employees and users are authorised to connect relevant accounts; not use the extension for unauthorised surveillance, interception or monitoring; not collect information unrelated to the legitimate and disclosed purpose; comply with applicable Google Chrome Web Store policies and applicable law; and ensure personal information obtained through the extension is used only for lawful business purposes.
RUNO's extension will access only those permissions and data reasonably required for its disclosed functionality, subject to applicable platform requirements. Google Chrome, WhatsApp and related platforms may modify their technology, policies, interfaces or permissions at any time. Such changes may affect or disable extension functionality, and RUNO does not guarantee uninterrupted compatibility.
Where a User connects a Google or Gmail account to RUNO, the User expressly authorises RUNO, through Google's OAuth mechanism, to access the Google data covered by the permissions displayed during the authorisation process for the purpose of providing the selected RUNO functionality.
RUNO shall request only those Google OAuth scopes reasonably required for the relevant user-facing functionality. Information received from Google APIs will be used and transferred in accordance with the Google API Services User Data Policy, including the Limited Use requirements, where applicable.
The Customer acknowledges that Gmail functionality is subject to Google's applicable terms, policies, OAuth requirements, API restrictions, quotas and sending limits. The Customer shall not use RUNO's Gmail integration to send spam or unsolicited commercial email; circumvent Google's sending limits, spam controls or account restrictions; impersonate another person without authority; distribute unlawful or malicious content; or otherwise violate Google's policies or applicable law.
A connected Google account shall be mapped to the applicable authorised RUNO user profile. Users may revoke RUNO's Google access through available RUNO settings, where provided, and/or through their Google Account permissions. Revocation may cause affected functionality to stop working.
RUNO may restrict or suspend Gmail integration where it detects or reasonably suspects spam, abuse, unauthorised access, policy violations or attempts to circumvent Google's restrictions.
"Customer Data" means information, content, records, communications, contact details, call records, recordings, messages, email information, CRM information and other data submitted to, collected through, synchronised with or processed using the Services on behalf of the Customer.
As between RUNO and the Customer, the Customer retains its rights in Customer Data. The Customer represents and warrants that it has all rights, permissions, notices, consents and lawful bases required to collect, upload, disclose, transmit, store and otherwise process Customer Data through RUNO.
Where RUNO processes personal data on behalf of a Customer, the parties' respective roles and obligations may additionally be governed by RUNO's applicable Data Processing Agreement (DPA). The Customer shall not instruct RUNO to process personal data unlawfully.
RUNO maintains a privacy and information-security programme designed to support its obligations under applicable data-protection laws, including, where applicable, the Digital Personal Data Protection Act, 2023 and rules thereunder and the European Union General Data Protection Regulation (GDPR).
Where GDPR applies and RUNO acts as a processor on behalf of the Customer, the Customer is responsible for establishing an appropriate lawful basis for processing and satisfying its obligations as controller, and RUNO will process personal data in accordance with applicable contractual data-processing terms.
Where the DPDP Act applies and RUNO processes personal data on behalf of the Customer, the Customer shall fulfil the obligations applicable to it as Data Fiduciary or other relevant capacity, including providing required notices, establishing a lawful basis/consent where applicable, addressing applicable rights and maintaining appropriate instructions to its processors.
Nothing in these Terms transfers the Customer's statutory privacy or data-protection obligations to RUNO. Each party remains responsible for obligations imposed directly upon it by applicable law.
RUNO maintains an information-security programme aligned with its applicable ISO/IEC 27001 certification and SOC 2 Type II attestation/report, within their respective certified or assessed scopes.
Such certifications, attestations and reports demonstrate the operation or assessment of specified security controls within their applicable scope and period. They do not constitute a warranty that the Services are immune from every cybersecurity event, vulnerability, data loss or unauthorised access.
The Customer remains responsible for security matters within its control, including protecting authentication credentials; configuring appropriate user permissions; promptly disabling former employees or unauthorised users; protecting connected devices and SIMs; maintaining endpoint security; preventing credential sharing; using appropriate access controls; and promptly notifying RUNO of suspected compromise.
The Customer shall not represent RUNO's certifications or reports as certifications of the Customer's own organisation, systems or regulatory compliance.
Users must not access data, accounts, systems or networks without authorisation; probe, scan or test vulnerabilities without RUNO's prior written authorisation; circumvent authentication, access controls, rate limits or security mechanisms; introduce malware or malicious code; interfere with or disrupt the Services; overload or intentionally degrade systems; send spam or unsolicited communications; use the Services for fraud, phishing, impersonation or deception; infringe intellectual-property, privacy, publicity or other rights; transmit unlawful, defamatory, obscene, threatening, abusive or hateful material; scrape, reverse engineer or extract data or source code except where permitted by mandatory law; resell or provide unauthorised access; or use RUNO in a manner that exposes RUNO, its providers or other customers to legal, regulatory, security or reputational risk.
RUNO may investigate suspected violations and cooperate with competent governmental, regulatory or law-enforcement authorities where legally required or permitted.
The Customer is responsible for all activity occurring under its account and accounts provisioned for its employees, agents and authorised users. The Customer shall ensure every authorised user complies with these Terms. Actions performed using valid Customer credentials will be treated as authorised by the Customer unless applicable law requires otherwise. The Customer must promptly notify RUNO of suspected unauthorised access or credential compromise.
The Services may depend upon or interoperate with Third-Party Providers including telecom operators, cloud infrastructure providers, Meta, WhatsApp, Google, Gmail, Chrome, mobile operating systems, device manufacturers and internet providers.
RUNO does not control and shall not be responsible for the availability, performance, acts, omissions, policies, pricing, outages, restrictions or decisions of such Third-Party Providers. Third-Party Providers may change APIs, features, terms, technical requirements, limits or policies without RUNO's control. RUNO may modify, suspend or discontinue affected integrations where necessary because of such changes and does not warrant that any third-party integration will remain available indefinitely.
RUNO will use commercially reasonable efforts to provide the Services, subject to any separately agreed service-level commitments. Unless expressly provided in a written SLA, RUNO does not guarantee uninterrupted, error-free or continuously available operation.
Downtime may result from scheduled maintenance, emergency maintenance, telecommunications failures, internet failures, cloud-provider outages, cyber incidents, regulatory action, third-party API failures, force majeure or circumstances beyond RUNO's reasonable control.
RUNO and/or its licensors retain all rights, title and interest in and to the Services, software, applications, APIs, algorithms, documentation, trademarks, logos, designs, databases and other proprietary materials. Except for the limited right to use the Services during an active subscription, no intellectual-property rights are transferred to the Customer.
The Customer shall not sell, copy, reproduce, modify, publicly display, distribute, sublicense, reverse engineer, decompile or create derivative works from RUNO's proprietary materials except where expressly authorised in writing or permitted by mandatory law.
Third-party trademarks, including Google, Gmail, Chrome, Meta and WhatsApp, belong to their respective owners. Their appearance in or interoperability with RUNO does not imply ownership or endorsement except where expressly stated.
RUNO does not control the content of calls, emails, WhatsApp messages or other communications initiated by Customers. The Customer is solely responsible for all Customer-generated communications and represents that such communications are lawful; are sent to lawful recipients; comply with applicable consent and preference requirements; do not infringe third-party rights; and comply with applicable platform and telecom-provider policies.
RUNO's technical ability to process or transmit a communication does not constitute approval of that communication.
RUNO may immediately suspend, restrict or terminate all or part of the Services where required by law, court order, regulator, telecom operator or Third-Party Provider; KYC requirements are not satisfied; the Customer breaches these Terms; the Customer engages in spam, fraud, abuse or unlawful communications; continued service creates a security or regulatory risk; fees remain unpaid when due; or a relevant Third-Party Provider suspends or terminates the underlying service.
Where reasonably practicable and legally permitted, RUNO may provide notice of suspension and an opportunity to cure a remediable breach.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
RUNO DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY AND UNINTERRUPTED AVAILABILITY.
RUNO DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED; TELECOM NETWORKS OR THIRD-PARTY INTEGRATIONS WILL ALWAYS BE AVAILABLE; ANY TELEPHONE NUMBER, WHATSAPP ACCOUNT, GOOGLE ACCOUNT OR THIRD-PARTY SERVICE WILL REMAIN ACTIVE; AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE; USE OF THE SERVICES WILL, BY ITSELF, MAKE THE CUSTOMER COMPLIANT WITH ANY LAW OR REGULATION; OR THE SERVICES WILL SATISFY EVERY CUSTOMER-SPECIFIC LEGAL OR REGULATORY REQUIREMENT.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS OR DAMAGE, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, ANTICIPATED SAVINGS OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STATUTE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS.
RUNO SHALL NOT BE LIABLE FOR LOSS, DAMAGE, PENALTY, SUSPENSION OR CLAIM ARISING FROM THE CUSTOMER'S VIOLATION OF TRAI, DoT, TCCCPR, DLT, KYC OR OTHER REGULATORY REQUIREMENTS; UNSOLICITED OR UNLAWFUL COMMUNICATIONS; FAILURE TO OBTAIN CONSENT; CUSTOMER CONTENT; UNLAWFUL OR UNAUTHORISED CALL RECORDING OR MONITORING; MISUSE OF A SIM, TELEPHONE NUMBER OR TELECOM RESOURCE; CUSTOMER DECISIONS BASED ON AI OUTPUT; ACTIONS OR POLICY CHANGES BY THIRD-PARTY PROVIDERS; CUSTOMER DEVICES OR CONNECTIVITY; CUSTOMER CREDENTIAL COMPROMISE OR CUSTOMER-CONTROLLED SECURITY FAILURES; OR USE CONTRARY TO DOCUMENTATION OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RUNO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE FEES ACTUALLY PAID BY THE CUSTOMER TO RUNO FOR THE SPECIFIC AFFECTED SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Where applicable law does not permit a particular exclusion or limitation, RUNO's liability shall be limited to the maximum extent permitted by that law.
To the maximum extent permitted by applicable law, the Customer shall defend, indemnify and hold harmless RUNO, its affiliates and their respective directors, officers, employees and agents against third-party claims, proceedings, penalties, damages, liabilities, costs and reasonable legal expenses arising out of or relating to Customer Data or Customer content; the Customer's use or misuse of the Services; breach of these Terms; violation of applicable law; violation of TRAI, DoT, TCCCPR, DLT or telecom requirements; unsolicited calls, emails or messages; failure to obtain legally required consent; unlawful recording, monitoring or processing; infringement of third-party rights; fraudulent or unauthorised use of telecom resources; Customer instructions; or acts or omissions of the Customer's employees, contractors, agents or authorised users.
This indemnity shall not apply to the extent a claim results directly from RUNO's conduct for which liability cannot lawfully be excluded.
RUNO may disclose information, suspend resources, preserve records or take other reasonable action where required by applicable law, valid governmental request, court order, TRAI/DoT direction, telecom-provider requirement or other lawful regulatory process. RUNO may cooperate with law-enforcement agencies and regulatory authorities in investigating suspected fraud, cybercrime, spam, telecom abuse or other unlawful activity.
RUNO may modify the Services, technical configuration, KYC requirements, integrations, usage restrictions or these Terms where reasonably required to comply with law or regulation, comply with a Third-Party Provider's policies, maintain security, prevent abuse, or improve or modify the Services.
Material changes to these Terms will be communicated or published through RUNO's website, application or other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.
The Customer shall pay applicable subscription, usage, telecom, messaging, API and other charges specified in its order form or commercial agreement. Third-Party Provider charges, telecom tariffs, WhatsApp/Meta conversation or messaging charges, taxes and regulatory charges may change from time to time.
Unless expressly agreed otherwise, RUNO is not responsible for increases imposed by Third-Party Providers, telecom operators or governmental authorities and may pass applicable changes through to the Customer.
Each party shall protect confidential information received from the other party using reasonable safeguards and shall use such information only for purposes connected with the Services. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from another source without confidentiality restrictions, or required to be disclosed by law.
Where disclosure is legally required, the receiving party may disclose only the information required and, where legally permitted, provide reasonable notice to the other party.
RUNO shall not be liable for delay, interruption or failure caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil disturbance, epidemic, governmental action, regulatory orders, internet failures, telecommunications outages, power failures, cloud-provider failures, third-party platform outages, labour disputes or cybersecurity events not caused by RUNO's breach of a mandatory legal obligation.
These Terms shall be governed by the laws of India. Subject to any mandatory law and any dispute-resolution mechanism contained in the Customer's applicable order form or agreement, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
If any provision of these Terms is held invalid, illegal or unenforceable, that provision shall be enforced to the maximum extent legally permissible and the remaining provisions shall continue in full force and effect.
Failure by RUNO to enforce a provision of these Terms shall not constitute a waiver of that provision or any other right.
The Customer may not assign or transfer its rights or obligations under these Terms without RUNO's prior written consent. RUNO may assign these Terms in connection with a merger, acquisition, corporate restructuring, transfer of business or sale of substantially all relevant assets, subject to applicable law.
These Terms, together with the applicable order form, subscription agreement, Privacy Policy, DPA, SLA and product-specific terms, constitute the agreement governing the Customer's use of the Services.
In case of conflict, a separately executed written agreement or order form shall prevail over these online Terms to the extent of the conflict, unless that agreement expressly provides otherwise.
